These Terms apply when a member requests the Company's music monetization services (streaming distribution, inclusion in the O2Jam game, music API supply, etc.) and take precedence over the general Terms of Service. For each service request, the member goes through a separate consent step covering these Terms and the request details (target tracks/albums, service types, applicable rates).
Article 1 (Legal Nature)
- A monetization service request is a continuing agreement under which the member grants the Company a non-exclusive license to the target tracks and the Company distributes the resulting revenue; it does not involve any transfer (assignment) of neighboring rights or other rights.
- Any transfer of rights (full or partial buyout) is made only through the execution of a separate agreement, not under these Terms.
Article 2 (Scope of License)
- To the extent necessary to provide the requested services, the member grants the Company the following non-exclusive rights: (1) reproduction, transmission and distribution (including streaming distribution and API supply); (2) gamification work for game inclusion (note/chart production, section editing, etc.); (3) display of album art and track information; (4) reasonable promotional use for marketing the services.
- The license in the preceding paragraph remains in effect for the duration of the services; upon service termination, new use is discontinued.
Article 3 (Service-specific Conditions)
- Streaming distribution: streaming distribution is requested on a per-album basis (a single track also requires an album). The Company may supply the tracks to domestic and international streaming platforms through its partner distributors.
- O2Jam game inclusion: may be requested per track or per album (including DLC sale requests). Different rates in the Schedule apply depending on whether the member provides the gamification work (note/chart production) and album art; the option selected at the time of request is stated in the request details.
- Music API supply: the Company may supply the target tracks to third-party services through the Company's API; terms of use and billing follow the API policy set by the Company.
- Services for tracks whose rights the Company holds (e.g. through a buyout) are performed directly by the Company and are not subject to these Terms.
Article 4 (ISRC)
- If a target track has no ISRC, the Company may, with the member's consent, issue and assign an ISRC at the time of the service request. The issued ISRC continues to be used to identify that recording.
Article 5 (Revenue Share and Deductions)
- The revenue share for each service follows the Fee Schedule. The base amount for revenue sharing is the revenue actually received by the Company less required costs (platform fees, payment fees, external distribution fees, copyright royalties, etc.).
- The Company clearly displays the applicable rate on the service request screen. Rate changes follow the Schedule amendment and notice procedure and are not applied retroactively to revenue already accrued.
Article 6 (Settlement and Payment)
- Settlement is monthly, with payment in the third month after the month in which the revenue accrues. Payment may be postponed if external platforms or distributors delay their settlements.
- If a single payment would be less than KRW 10,000, it is not paid out but carried over and combined with the next settlement.
- For individual members, payment is made after withholding tax under applicable tax law (currently 3.3%, etc.); business members follow the tax invoice procedure. Identity verification and bank account verification (1-won verification) must be completed for payment; otherwise payment is withheld.
- The member may raise an objection within 30 days of the settlement statement notice; absent an objection within that period, the settlement becomes final. If an overpayment is confirmed, the Company may offset it against the next settlement or claim reimbursement.
Article 7 (Service Stop (Stop of New Sales))
- A member who wishes to stop the service for a track in service must request it from the Company 3 months in advance.
- A service stop means the discontinuation of new sales and new use; sales and provision made before the stop request (including use by existing purchasers) are maintained.
- The actual stop may be delayed according to the processing schedules of external platforms and distributors, and revenue accrued until the stop is settled under these Terms.
Article 8 (Representations and Warranties)
- The member represents and warrants that the member lawfully holds the rights necessary to provide the services for the target tracks and does not infringe any third party's rights. Where third-party rights holders such as performers exist, the member warrants that the necessary consents and permissions have been obtained.
- If a dispute arises from a breach of the preceding paragraph, the Company may suspend the service and settlement for the affected tracks, and the member shall compensate the Company for any damage incurred (including return of amounts paid).
Article 9 (Miscellaneous)
Matters not set out in these Terms follow the general Terms of Service and applicable law; disputes are subject to the jurisdiction of the Seoul Central District Court. Addendum: these Terms take effect on the [effective date].
